Norsafe Account Terms

Introduction
These Account Terms govern all credit facilities granted by Norsafe, a division of H G Manders en Familie (Pty) Ltd.
By applying for and operating a Norsafe account, the customer agrees to these terms and conditions.
1. Credit Applications
All credit facilities are subject to approval by Norsafe.
Approval may require the submission of:
Company registration documents
VAT registration certificate (where applicable)
Banking confirmation
Trade references
Identification documents
Any additional information reasonably required for credit assessment
Norsafe reserves the right to approve, decline, amend or withdraw credit facilities at its sole discretion.
Granting of a credit facility does not create an obligation on Norsafe to continue supplying goods on account.
2. Payment Terms
Payment shall be made according to the customer’s approved account terms.
Unless otherwise agreed in writing, payment is due on or before the agreed due date reflected on invoices and statements.
Customers are responsible for ensuring that payments are correctly referenced to enable accurate allocation.
Any invoice query must be raised within seven (7) days of invoice date.
Failure to raise a query within this period shall not delay payment obligations.
3. Interest on Overdue Accounts
Norsafe reserves the right to charge interest on overdue accounts at the maximum rate permitted by applicable South African legislation.
Interest may be calculated from the due date until the date of payment in full.
The charging of interest shall not prejudice any other rights available to Norsafe.
4. Ownership of Goods
Ownership of all goods supplied shall remain vested in Norsafe until full payment has been received.
Until payment has been made in full, the customer shall:
Store goods separately where reasonably possible.
Take reasonable care of the goods.
Not pledge, sell, dispose of or encumber the goods in a manner that prejudices Norsafe’s ownership rights.
Nothing in this clause limits any statutory rights available to Norsafe.
5. Recovery Costs
Should an account fall into arrears, the customer shall be liable for all reasonable costs incurred in recovering outstanding amounts.
Such costs may include:
Collection costs
Tracing fees
Legal fees
Attorney and client costs where legally recoverable
Court costs
Debt collection fees
Recovery actions may be instituted without prejudice to any other rights available to Norsafe.
6. Jurisdiction
These Account Terms shall be governed by the laws of the Republic of South Africa.
Any dispute arising from the account relationship shall be subject to the jurisdiction of the South African courts.
Nothing contained herein prevents Norsafe from pursuing any lawful remedy available under South African law.
7. Account Suspension
Norsafe reserves the right to suspend, restrict or withdraw credit facilities without prior notice where:
Payments become overdue.
Agreed account limits are exceeded.
Material information supplied during the credit application is found to be incorrect.
The customer enters business rescue, liquidation, sequestration or similar proceedings.
Norsafe reasonably believes that continued credit exposure presents a financial risk.
During any suspension period, Norsafe may require payment prior to supply, collection or delivery.
Reinstatement of account facilities shall remain at the sole discretion of Norsafe.
